Terms of Service
Effective June 12, 2026.
These Terms of Service (the “Terms”) govern your use of The (Unofficial) VoIP.ms MCP Server (the “Service”), operated by Ecliptical Software Inc. (“we”, “us”). By accepting these Terms or using the Service, you agree to be bound by them. If you do not agree, do not use the Service.
Relationship to VoIP.ms
The Service is an independent tool that connects an AI agent to your own VoIP.ms account through the VoIP.ms API. We are not VoIP.ms, are not affiliated with, endorsed by, or sponsored by VoIP.ms, and VoIP.ms is a trademark of its respective owner. The Service has no value and does not function without your own VoIP.ms account: you must have an active VoIP.ms account, with API access enabled, and supply your VoIP.ms API credentials for the Service to do anything. We do not provide, resell, or include a VoIP.ms account, and we do not provision phone numbers or telecom service ourselves. You must maintain your own VoIP.ms account in good standing, your relationship with VoIP.ms is solely between you and VoIP.ms, and your use of VoIP.ms remains governed by VoIP.ms’s own Terms of Service and Acceptable Use Policy. Nothing here grants you any rights in VoIP.ms’s service.
Accounts and eligibility
You must be able to form a binding contract to use the Service. You are responsible for activity under your account and for keeping your sign-in credentials confidential. We use Cognito for sign-in and support federated sign-in through Google, Apple, and GitHub.
To use the Service’s tools you provide your own VoIP.ms API credentials, which we store and use to call VoIP.ms on your behalf. See the Privacy Policy for how those credentials are handled, and the Acceptable Use Policy for what you may and may not do with them.
Your responsibilities for VoIP.ms usage
Because the Service acts on your VoIP.ms account at your direction, you are responsible for ensuring your use complies with VoIP.ms’s terms and applicable law. In particular, and without limitation:
- US SMS/MMS sending generally requires that your business and campaign be registered with The Campaign Registry; unregistered traffic may be filtered, blocked, or fined.
- Telemarketing, autodialer, and short-duration call traffic require prior authorization from VoIP.ms.
- Emergency (E911) service must be configured correctly; misconfiguration can incur per-call fees charged to your VoIP.ms account and can prevent emergency calls from completing.
- You may not send unsolicited bulk messages or robocalls, or use the Service for any unlawful, fraudulent, or abusive purpose.
These obligations are yours; we do not monitor the content of your traffic. The full list of prohibited uses is in our Acceptable Use Policy.
AI agent actions are your responsibility
The Service exposes the VoIP.ms API as tools an AI agent you connect can call on your behalf. The agent may act autonomously, taking actions on your VoIP.ms account without your review or confirmation of each individual action. You decide which AI app to connect and which permissions to grant it, and you are solely responsible for every action taken through the Service — whether you performed it yourself or an agent did so on your behalf, and whether or not you anticipated or reviewed it.
These actions can be irreversible and can have real-world cost and consequences. For example, and without limitation, an agent may cancel or order phone numbers, send SMS, MMS, or faxes, delete messages, voicemail, or recordings, change routing or E911 settings, or take other actions that incur charges on your VoIP.ms account or cannot be undone.
We do not review, approve, direct, or control what your agent does, and we do not assume any responsibility or liability for the actions an agent takes through the Service or for their consequences, including any charges, data loss, service disruption, or regulatory exposure on your VoIP.ms account. You should grant only the permissions your agent needs and review what you have authorized.
Plans, fees, and changes
The Service is offered in Free and paid tiers. Fees, billing, and refunds are described in the Billing & Refund policy. We may change the Service, these Terms, or the plans at any time; material changes to the Terms will be notified and may require you to accept the updated Terms before continuing to use the Service.
Acceptable use and suspension
Your use of the Service is subject to the Acceptable Use Policy. We may suspend or terminate your access if we reasonably believe you have violated these Terms or the Acceptable Use Policy, or to protect the Service, other users, or third parties.
Disclaimer of warranties
The Service is provided “as is” and “as available”, without warranties of any kind, whether express or implied, including merchantability, fitness for a particular purpose, and non-infringement. We do not warrant that the Service will be uninterrupted, error-free, or secure, and we do not control VoIP.ms or guarantee its availability. The Service depends on VoIP.ms, which may change, restrict, or discontinue its service or API at any time.
Limitation of liability
To the fullest extent permitted by law, we will not be liable for any indirect, incidental, special, consequential, or punitive damages, or for lost profits, data, or business, arising out of or relating to the Service — including any action an AI agent takes through the Service on your VoIP.ms account, any act or omission of VoIP.ms, any charges incurred on your VoIP.ms account, or any use of the Service in violation of VoIP.ms’s terms. Our total liability for any claim relating to the Service will not exceed the amount you paid us for the Service in the three months preceding the claim.
Indemnification
You agree to indemnify and hold us harmless from claims, damages, and expenses arising out of your use of the Service, your VoIP.ms traffic, or your violation of these Terms, the Acceptable Use Policy, or applicable law.
Governing law
These Terms are governed by the laws of the Province of Ontario and the federal laws of Canada applicable therein, without regard to conflict-of-laws rules, and the courts located in Ontario will have exclusive jurisdiction over any dispute.
